PURCHASE OF SONG AGREEMENT

This Music Production Contract (hereinafter referred to as the "Contract") is made and entered into on this [Date] (hereinafter referred to as the "Effective Date") between DarkHouse Productions (hereinafter referred to as the "Producer") and [Client’s Name] (hereinafter referred to as the "Client”).

 

SERVICES AND RESPONSIBILITIES:

1.1 Producer's Services: The Producer agrees to provide The Client the song [that they have chosen] (including, arrangement, mixing, and mastering) This includes an Ableton project file containing the individual stems and a .wav/.mp3 of the purchased song.

 

 

COMPENSATION:

2.1 Payment Terms: The Client agrees to pay the Producer [the agreed-upon fee] for the song [      ]. Payment shall be made in full prior to the delivery of the final produced material.

 

 

OWNERSHIP AND COPYRIGHT:

3.1 Song Ownership: The Client and The Producer each have an equal 50/50 claim on the song where the client is keeping the songwriting credit and the producer is keeping the production/music making credit.

3.2 The Client agrees to contact the producer up to 30 days after the songs release to register the song together on BMI/ASCAP.

3.3 The Client Acknowledges that all purchased and released songs must be properly registered to BMI/ASCAP in order to purchase more songs in the future.

3.4 The Client agrees to release the song under the performing name that they listed on the top of this page. Any changes to the clients artist name should be updated with DarkHouse Productions within 30 days.

3.5 Producer's Rights: The Producer shall retain the rights to the originally produced musical recordings, including but not limited to the arrangement, mix, and master. The Producer may use the produced material for promotional purposes, unless otherwise agreed upon in writing.

3.6 Client acknowledges and understands that, while their song is unique, that similar sound designs, rhythms and musical concepts may be applied to other songs listed for sale on the Darkhouseproductions.com website.  

 

CONFIDENTIALITY:

4.1 Non-Disclosure: Both parties agree to maintain the confidentiality of any sensitive or proprietary information shared during the course of this project, including but not limited to unreleased Songs, creative concepts, credit card information, and any personal details.

 

 

GOVERNING LAW AND JURISDICTION:

5.1 Governing Law: This Contract shall be governed by and construed in accordance with the laws of California.

5.2 Jurisdiction: Any disputes arising out of or in connection with this Contract shall be resolved through mediation or, if necessary, through binding arbitration in accordance with the rules of the International Chamber of Commerce (ICC). The arbitration shall take place in Los Angeles County, California.

 

The parties hereto have executed this Music Producer Contract as of the Effective Date.
